LITE Lab@HKU Terms & Conditions

1. Introduction

Welcome to the Law, Innovation, Technology and Entrepreneurship (“LITE Lab@HKU”) website (“Website”). We are a group of students at the University of Hong Kong (“HKU”) participating in a range of courses under the name “LITE Lab@HKU”, together with other HKU employees, students, and people assisting and maintaining the content of this Website.

We have created content on information regarding some common issues that impact entrepreneurs, startups and new innovative businesses. It addresses the core aspects of setting up a new business, including legal structures, hiring staff, protecting intellectual property, raising finance, licensing considerations, data protection and usage, and cross-border operations. We also provide a platform for law students and legal innovators to share their ideas.

We have used different innovative tools, such as Checkbox.ai, Josef and Documate to present the information to you. As such, they are designed to be simple and accessible and may omit terms and language relevant to your specific circumstances.

2. Created for educational purposes only

The information uploaded on this Website has been prepared by HKU students and the students’ work products are for educational purposes only. We do not intend to (a) review your inputs and answers to the questions for legal sufficiency; (b) draw legal conclusions; (c) give legal opinion or clearance; (d) provide recommendations about your legal rights, remedies, defences and strategies; (e) advise on how the law applies to the facts of a particular situation; (f) act as your legal counsel or represent you in negotiations or disputes; or (g) ensure your compliance with any laws or regulations. You should not act upon information uploaded onto this Website without seeking professional advice.

LITE Lab@HKU is not a law firm nor are the students producing this Website’s content qualified as licensed lawyers. If you do not agree to the Terms, you are not granted authority to use this Website and you should not use this Website. Some Terms may be amended from time to time without specific notice to you. However, the date of last update of the Terms will be posted on the top of the updated Terms.

We will temporarily store information that you have entered so that this Website can operate as designed. The information we provide is mostly based on Hong Kong governing laws. Situations may be different in different jurisdictions. No general information or legal resources like this Website can fit every circumstance.

We do not warrant or represent that the Service (or the information, material or services supplied to us on which all or part of the Services depend) will be delivered free of any inaccuracies, viruses, interruptions, delays, omissions or errors (“Faults”), or that all Faults will be corrected. Under no circumstances will this Website or its related entities be liable for any incidental, special or consequential damages, including damages for injury, loss of business or other profits arising in relation to or from the omission of information on this Website. Any uses to which that information is put, or any actions taken in consequence of the use of the Services is the sole responsibility of the users.

10. Indemnification

You agree to indemnify and hold this Website and its related entities (including but not limited to HKU, LITE Lab@HKU course coordinators and students, Website data providers and IT support) harmless from and against all liabilities, damages, claims, costs (including legal fees and costs), and expenses in connection with or arising from (i) your breach of these Terms, applicable laws or third-party rights (including but not limited to breach of patent, trademark, copyright, trade secret or other intellectual property rights), (ii) your use of our Services and/or (iii) any misrepresentation made by you. You also agree to fully cooperate with us in the defence or settlement of any claim in relation to or arising out of our Services or these Terms.

11. Dispute Resolution

We wish to address your concerns without going through a formal legal process. Before filing a claim against LITE Lab@HKU, you agree to try resolving the dispute informally by contacting litelabstudents2020@gmail.com. We will respond to you by email as soon as practicable; however a lack of response shall not be deemed to constitute any acquiescence or waiver. We will try our best to resolve the dispute informally within thirty (30) days. If the dispute is not resolved within such a period, you or LITE Lab@HKU may bring a formal proceeding.

Any dispute, controversy, difference or claim arising out of or relating to the use of and access to this Website shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The law of this arbitration clause shall be Hong Kong law. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English. 

If we make any future change to this dispute resolution clause, that change will not apply to any dispute of which notice of arbitration has been filed on or before the effective date of the change.

12. Governing Laws

The Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

13. Miscellaneous

The language in these Terms shall be interpreted as to its fair meaning and not strictly for or against any party. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision. Our rights under these Terms shall survive any termination of these Terms, including but not limited to trademarks, copyrights, patents, trade secrets and other intellectual property rights.

14. Users’ Undertaking & Acceptable Use

As a condition of use, you agree not to use this Website for any purpose that is prohibited by the Terms or by applicable law. You shall not (and shall not permit any third party to) engage in or attempt to engage in any potentially harmful acts that are directed against this Website, including but not limited to violating or attempting to violate any security features of this Website, introducing viruses, worms, or similar harmful code into this Website, or interfering or attempting to interfere with use of this Website by any other user, host or network.
